1. About Coded PH

Coded PH provides website design, website development, and related digital services.

Information on codedph.com is provided to help prospective clients understand our services, approach, capabilities, and previous or representative work.

Submitting an inquiry, requesting a quote, or discussing a project does not automatically create a client relationship or require either party to proceed.

A paid project begins only after the applicable scope, pricing, payment arrangements, and other necessary terms have been agreed upon.

2. Use of Our Website

You may use codedph.com for lawful purposes, including learning about our services, viewing our work, submitting project inquiries, requesting quotes, and contacting Coded PH.

You must not knowingly:

• Attempt to gain unauthorized access to the website, servers, forms, accounts, or related systems
• Introduce malware, malicious code, or harmful material
• Attempt to bypass security, rate-limiting, or anti-spam protections
• Scrape, crawl, overload, or disrupt the website in a manner that interferes with its operation
• Submit fraudulent, misleading, abusive, or unlawful information
• Impersonate another person or organization
• Use the website to infringe another person's intellectual property, privacy, or legal rights
• Interfere with the security or normal operation of the website

We may restrict access or take reasonable protective measures where necessary to protect Coded PH, our infrastructure, our services, or other users.

3. Project Inquiries and Quotes

When contacting Coded PH about a project, you agree to provide information that is accurate to the best of your knowledge.

Information you provide may be used to understand your requirements, determine whether Coded PH is suitable for the project, prepare an estimate or proposal, and communicate with you.

Initial prices, estimates, or timelines discussed before a project's requirements have been fully evaluated are preliminary unless expressly identified as final.

Pricing may depend on factors such as:

• Project scope and complexity
• Number of pages or features
• Design requirements
• Integrations and technical requirements
• Content requirements
• Timeline
• Third-party services
• Revisions
• Maintenance or ongoing support

Coded PH may accept or decline a project inquiry at its discretion, subject to applicable law.

4. Project Scope

Before paid project work begins, the parties should agree on the applicable project scope and commercial terms through a Project Agreement.

Depending on the project, this may include:

• Deliverables and functionality
• Design requirements
• Project timeline
• Client responsibilities
• Included revisions
• Pricing and payment schedule
• Third-party costs
• Hosting and deployment responsibilities
• Maintenance and support
• Intellectual property arrangements
• Cancellation or termination terms

Requests outside the agreed scope may be treated as additional work and may require additional fees or additional time.

Where reasonably practicable, Coded PH will communicate material changes to scope, cost, or timeline before performing additional billable work.

5. Client Responsibilities

Successful projects require timely cooperation from both Coded PH and the client.

Clients are responsible for providing materials, information, access, feedback, and approvals reasonably necessary to complete their project.

This may include website copy, logos, images, brand assets, product or service information, legal content, account access, domain or hosting access, and project-specific instructions.

Unless otherwise agreed, clients are responsible for ensuring that:

• Information and materials they provide are accurate
• They have the necessary rights and permissions to use supplied content
• Business-specific claims, prices, policies, and information are correct
• Required approvals and feedback are provided within a reasonable time
• Accounts and services under their control remain accessible when required for the project

Delays caused by missing materials, delayed feedback or approvals, third-party services, or circumstances outside Coded PH's reasonable control may affect the project schedule.

6. Client Content

Clients retain ownership of original content and materials they provide to Coded PH unless otherwise agreed in writing.

By providing content or materials for a project, the client grants Coded PH permission to use, reproduce, modify, format, process, and incorporate those materials as reasonably necessary to provide the agreed services.

The client represents that they have the necessary rights or permissions to use and provide those materials.

Coded PH may decline to use material that reasonably appears unlawful, infringing, malicious, or inappropriate for the project.

7. Intellectual Property

Coded PH retains ownership of intellectual property that existed independently of a client project, including its brand, website, internal processes, general know-how, reusable tools, components, templates, techniques, and systems.

Ownership or licensing of custom project deliverables will be determined by the applicable Project Agreement.

Where a Project Agreement provides that ownership of final custom deliverables transfers to the client, that transfer may be conditional upon full payment of all amounts due for the applicable work.

Third-party software, fonts, libraries, plugins, media, templates, and other materials remain subject to their respective licenses and ownership terms.

Nothing in these Terms transfers ownership of Coded PH's name, branding, website, or other pre-existing intellectual property.

8. Third-Party Services

Websites and digital projects frequently depend on services operated by third parties, including:

• Domain registrars
• Hosting and cloud providers
• Databases
• Content management systems
• Payment processors
• Email providers
• Analytics services
• APIs
• Plugins and libraries
• Fonts
• Stock media
• Other software or platforms

Third-party services are governed by their own terms, pricing, licenses, privacy practices, and availability.

Unless expressly included in a Project Agreement, third-party fees such as hosting, domains, subscriptions, premium software, licenses, APIs, or other external services are separate from Coded PH's service fees.

Coded PH does not control third-party providers and cannot guarantee their continued availability, pricing, functionality, compatibility, or policies.

Changes or disruptions to third-party services may require additional work to maintain or modify a client's website.

9. Payments

Pricing and payment terms for paid work will be stated in the applicable quotation, proposal, invoice, contract, or Project Agreement.

Depending on the project, payment arrangements may include:

• An initial deposit
• Milestone payments
• Payment before deployment or final handover
• Recurring fees for ongoing services
• Payment for approved additional work

Clients are responsible for reviewing and agreeing to the applicable payment terms before approving a project.

Unless otherwise agreed, external expenses such as domain registration, hosting, subscriptions, premium plugins, software licenses, stock assets, or other third-party services are not automatically included in Coded PH's project price.

10. Cancellations and Refunds

Cancellation and refund terms may vary depending on the project and may be specified in the applicable Project Agreement.

Because design and development services involve time and resources that may already have been committed, amounts attributable to work already performed or approved costs already incurred may not be refundable, subject to applicable law and the applicable Project Agreement.

If a project is cancelled after work has begun, the client may remain responsible for work completed and approved expenses incurred up to the effective cancellation date.

Nothing in these Terms limits any consumer right or remedy that cannot lawfully be waived or excluded.

11. Revisions and Additional Work

Included revisions, where applicable, will be defined by the Project Agreement.

A revision generally means a reasonable modification to work already within the agreed project scope.

Requests that materially change the project's requirements, functionality, architecture, design direction, or deliverables may be considered additional work rather than revisions.

Coded PH may provide an updated price or timeline before proceeding with additional work.

12. Timelines and Delays

Project timelines are based on the information, requirements, and circumstances known when an estimate is provided.

Delivery schedules may change because of:

• Scope changes
• Delayed client feedback or approval
• Missing content or materials
• Additional requests
• Technical complications
• Third-party service disruptions
• Events outside either party's reasonable control

Coded PH will make reasonable efforts to communicate significant changes affecting an agreed project timeline.

Unless expressly guaranteed in writing, estimated completion or delivery dates are estimates rather than absolute guarantees.

13. Testing, Review, and Approval

Coded PH takes reasonable steps to test websites and digital products within the agreed project scope before final delivery or deployment.

Websites and software may behave differently depending on browsers, devices, operating systems, network conditions, third-party services, updates, and user configurations.

Clients may be asked to review and approve work before launch or final handover.

Clients remain responsible for reviewing business-specific information for which they are the authoritative source, including prices, product information, contact information, claims, policies, legal content, and similar materials.

14. Maintenance and Support

Unless ongoing maintenance or support is expressly included in a Project Agreement, completion and handover of a project do not include indefinite maintenance, monitoring, updates, or technical support.

Websites may require future work because of software updates, security changes, browser changes, dependency updates, hosting changes, API changes, third-party platform changes, or new client requirements.

Maintenance or ongoing support may be provided under a separate agreement or service arrangement.

15. Security

Coded PH may implement reasonable security measures appropriate to the project's agreed scope.

However, no website, application, server, network, hosting provider, or internet-connected system can be guaranteed to be completely secure.

After project handover, clients are responsible for maintaining accounts and services under their control, including appropriate passwords, access permissions, subscriptions, credentials, and third-party services, unless ongoing management has been expressly assigned to Coded PH.

Unless included in an ongoing maintenance or security service, Coded PH is not responsible for continuously monitoring a completed website after handover.

16. Confidentiality

During a project, either party may receive information from the other that is not publicly available.

Coded PH will take reasonable care with confidential information provided for the purpose of performing agreed services and will use it only as reasonably necessary for the project, unless disclosure is authorized or required by law.

Clients should avoid sending passwords, private API keys, financial credentials, or similarly sensitive information through general website inquiry forms.

Where possible, sensitive system access should be provided using account invitations, delegated access, temporary credentials, role-based permissions, or other secure sharing methods.

17. Portfolio and Completed Work

Coded PH may request permission to feature completed client work in its portfolio, case studies, proposals, social channels, or other materials demonstrating its capabilities.

Any portfolio use remains subject to applicable confidentiality obligations and any restrictions agreed with the client.

Coded PH will not intentionally publish private credentials, private customer information, passwords, confidential databases, or other sensitive client information as portfolio material.

18. No Guarantee of Business Results

Coded PH provides design, development, and related digital services. Business results depend on many factors outside our control.

Unless expressly guaranteed in a written Project Agreement, Coded PH does not guarantee any particular:

• Revenue or sales
• Number of leads
• Conversion rate
• Website traffic
• Search engine ranking
• Customer acquisition result
• Business growth
• Return on investment

Any discussion of expected performance, projections, opportunities, or potential results should not be interpreted as a guarantee unless expressly stated otherwise in writing.

If SEO services are provided, Coded PH may perform agreed technical or content-related optimization, but search engines control their own algorithms, indexing, and ranking decisions. No particular ranking, traffic level, or indexing timeframe is guaranteed unless expressly agreed otherwise.

19. Website Availability and Disclaimers

We aim to keep codedph.com accurate, accessible, and functioning properly, but we do not guarantee uninterrupted or error-free operation.

The website may occasionally be unavailable because of maintenance, hosting interruptions, network problems, software updates, security issues, third-party outages, or other circumstances outside our reasonable control.

To the extent permitted by applicable law, codedph.com and its general informational content are provided on an "as is" and "as available" basis.

We do not guarantee that every piece of website information will always be complete, current, or error-free, or that use of the website will produce a particular result.

Specific commitments or warranties concerning paid client work, if any, will be governed by the applicable Project Agreement.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Coded PH will not be liable for indirect, incidental, special, or consequential losses arising solely from the use of, or inability to use, codedph.com.

Liability relating to paid client services may be further addressed in the applicable Project Agreement.

Nothing in these Terms excludes or limits any liability, right, warranty, or remedy that cannot lawfully be excluded or limited.

21. Privacy

Your use of codedph.com is also subject to our Privacy Policy, which explains how Coded PH collects, uses, shares, stores, and protects personal information.

Where personal information is processed, Coded PH aims to handle it in accordance with applicable Philippine data protection requirements.

22. Third-Party Links

codedph.com may contain links to websites, social networks, platforms, or services operated by third parties.

Those services are outside Coded PH's control and may have their own terms, privacy policies, and security practices.

Providing a link does not necessarily constitute endorsement of, or responsibility for, the third-party service.

23. Changes to These Terms

Coded PH may update these Terms as the website, services, business practices, or applicable requirements change.

When these Terms are updated, the policy will be updated to reflect the current version.

Updated Terms will apply to subsequent use of codedph.com from their effective date, subject to applicable law.

Changes to these general website Terms do not automatically modify an existing Project Agreement unless that agreement provides otherwise or the parties agree to the change.

24. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines, subject to any mandatory rights or protections provided by applicable law.

If a dispute relating to a paid project arises, Coded PH and the client should first make reasonable good-faith efforts to resolve the matter directly before pursuing other available remedies.

Nothing in this section prevents either party from exercising rights or remedies available under applicable law.

25. General Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

If Coded PH does not immediately enforce a provision of these Terms, that does not constitute a waiver of the right to enforce it later.

For general use of codedph.com, these Terms together with our Privacy Policy govern your use of the website.

For paid client work, the applicable Project Agreement may contain additional or different terms. Where a Project Agreement expressly conflicts with these Terms regarding that project, the Project Agreement will control to the extent of the conflict.
